Licence agreement (EULA)
Effective 12 October 2026 · Version 1.4
This End User Licence Agreement ("Agreement") is between you and Devicery, LLC, trading as Latte ("we", "us"). It covers the Latte PDF software, its updates and its documentation (the "Software"). By installing or using the Software, you agree to this Agreement. If you don't agree, don't install it, and ask for a refund under our refund policy.
1. Licence
Free version
You may download and use the Software without paying, on any number of your own devices, to open, edit and preview PDF files. Saving edited files requires a paid licence. Everything in this Agreement applies to the free version, except the paid licence terms below.
Paid licence
When you buy a licence, we grant you a perpetual, non-exclusive licence to install and use the Software on up to the number of computers in your plan (1 for Solo, 2 for Personal; for Office, the number of computers you bought, at least 10, with any you add later). You can't transfer the licence to another person. A "computer" is one physical or virtual machine.
You activate each computer by clicking Activate in the Software. This sends your licence key, your email address and an anonymous computer identifier (a one-way code the Software makes from this computer's hardware ID; the hardware ID itself is never sent) to our licence server, which counts your computers against your plan. After activation, your licence is checked on the computer and the Software works without an internet connection. To move the licence to another of your own computers, click Deactivate this computer in Latte PDF › Licence… on the old one, or use Reset my licence on our website if you no longer have it (up to 3 times in 30 days). Then activate the new computer.
2. Updates
Your licence includes, at no extra cost, every update to the features you bought (fixes, improvements and new versions of them) that we release for as long as we develop the Software. We may offer brand-new features separately; buying them is optional, and the features you have keep working and keep getting updates without them. If we ever stop developing Latte PDF, your licence continues and you can keep using the last version you installed on the computers you have activated.
3. What you may not do
- Share, sell, rent, lend or publish your licence key.
- Use the Software on more computers than your plan allows.
- Copy, modify, decompile or reverse-engineer the Software, except where the law allows it despite this restriction.
- Remove or change any copyright, trademark or licence notices.
- Use the Software to create forged or fraudulent documents, or to break any law.
4. Your documents
You own your documents and everything you create with the Software. We claim no rights in them and have no access to them. You are responsible for having the right to edit the PDFs you open.
5. Ownership
The Software is licensed, not sold. We and our licensors keep all rights, title and interest in it, including all intellectual property rights. "Latte PDF" and its logo are trademarks of Devicery, LLC.
6. Open-source components
The Software includes open-source components. Each is licensed under its own terms, listed in the app under Help › Open-source Notices. Nothing in this Agreement limits your rights under those licences.
7. Warranty
We warrant that the Software will work substantially as described on our website for 30 days after purchase. This is separate from the 7-day satisfaction guarantee in our refund policy. If it doesn't, your remedy is a fix or a full refund. Otherwise, to the extent the law allows, the Software is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Text recognition and font matching are best guesses and may not be exact. Check your output before you rely on it.
8. Limitation of liability
To the extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost data, profits or business, arising from your use of the Software. Our total liability is limited to the amount you paid for your licence. Some jurisdictions don't allow these limits, so they may not apply to you.
9. Ending this Agreement
This Agreement lasts until it ends. It ends automatically if you break it and don't fix the breach within 14 days of our notice. When it ends, you must stop using the Software and delete it. Sections 4 to 11 continue after it ends.
10. Export
You agree to follow all export laws that apply to the Software, and not to use it in any country or by any person where that is prohibited.
11. Governing law
This Agreement is governed by the laws of the State of California, USA, and disputes go to the courts of San Diego County, California. If you are a consumer in the EU or UK, you also keep the protection of the mandatory laws of the country where you live, and you may bring a claim there.
12. Your consumer rights
Nothing in this Agreement limits the rights you have as a consumer under the law of the country where you live.
